These terms and conditions govern access to and use of the Key Dials application, website, portal and related services provided by Key Dials Limited (“we”, “us” or “our”).

keydials.com comprises a website and application operated by us. We are registered in England and Wales under company number 15253726 and have our registered office and our main trading address at 12 Station Court Station Approach, Wickford, Essex, England, SS11 7AT.

By ticking the box marked ‘I agree’, clicking accept, creating an account, accessing the service or continuing to use the service as a user (you), you confirm that you accept these terms and agree to comply with them. If you do not agree to these terms, you must not use the service.

If your access to the service is provided to you by your employer, professional adviser, membership body, ambassador, promoter, reseller or another organisation, those arrangements sit alongside these terms. As between you and us, these terms govern your personal use of the service.

1. Interpretation

Servicethe KEY DIALS PLATFORM application, website, portal, software functionality, storage environment, support features and related services made available by us from time to time.
User Contentall Content submitted, uploaded, created, stored, transmitted or otherwise made available by you or on your behalf using the service.

2. About the service

2.1 The service is a digital platform intended to help users organise, store and manage information and documentation for personal, household, administrative or other permitted purposes. The service may be offered in different sector-specific versions or workflows from time to time.

2.2 The service is not intended to be used as an emergency service, a regulated trust service, a substitute for legal, tax, financial, medical or other professional advice, or a guaranteed archival repository unless we expressly state otherwise in writing.

2.3 We may update, improve, develop, modify, suspend or discontinue all or any part of the service from time to time provided that we do not materially undermine any paid-for core functionality without good reason.

3. Eligibility and accounts

3.1 You must be at least eighteen years old to create an Account and use the service unless we expressly permit supervised use on different terms.

3.2 You must provide accurate and complete registration information and keep your account details up to date.

3.3 You are responsible for keeping your login credentials secure and for all activity carried out through your Account, except to the extent caused by our breach or our systems.

3.4 You must notify us promptly if you know or suspect any unauthorised access to your Account or any other security incident affecting the service.

4. Licence to use the service

4.1 Subject to these terms, we grant you a personal, non-exclusive, revocable, non-transferable, non-sublicensable limited licence during the period of your authorised access to access and use the service for your own lawful personal purposes only through the applicable Licence Channel.

4.2 You must not sell, resell, distribute, assign, transfer, lease, lend, timeshare, white label, exploit commercially or otherwise make the service available to any third party except to the extent expressly permitted by us in writing.

4.3 Your rights under these terms are limited to use of the service in object code form through the user interface we make available. Except where mandatory law permits and cannot be excluded, you must not copy, adapt, modify, reverse engineer, decompile, disassemble or create derivative works from the service.

5. User Content

5.1 You retain ownership of your User Content.

5.2 You grant us a non-exclusive, worldwide, royalty-free licence during the period in which your User Content is hosted, processed, transmitted or retained through the service to host, copy, process, transmit, display, analyse, moderate and otherwise use that User Content to the extent reasonably necessary to operate, secure, improve and enforce the service and these terms.

5.3 You are responsible for your User Content and for ensuring that you have all rights, permissions and lawful bases required to upload, store or share it using the service.

5.4 We do not claim ownership of your User Content, but we are entitled to remove, disable access to, quarantine, reject or require deletion of User Content in accordance with these terms.

6. Acceptable use

6.1 You must use the service only in compliance with applicable law and these terms.

6.2 You must not use the service to upload, store, transmit, share, create, promote or otherwise make available any Prohibited Content.

6.3 Without limitation, Prohibited Content includes content which: (a) is unlawful, fraudulent, threatening, harassing, abusive, defamatory or invasive of privacy; (b) is pornographic, sexually explicit or otherwise obscene; (c) depicts, promotes, advertises, instructs on or facilitates illegal drugs, controlled substances or unlawful drug use; (d) depicts or promotes child sexual abuse material, sexual exploitation, human trafficking or violence; (e) is hateful, discriminatory or extremist; (f) infringes intellectual property rights, confidentiality rights or data protection rights; (g) contains malware, malicious code or harmful links; (h) is misleading, deceptive or impersonates another person; or (i) is otherwise inappropriate having regard to the nature of the service and our legitimate interests in operating it safely and lawfully.

6.4 You must not use the service to test, probe, scan or circumvent security; access data or accounts you are not authorised to access; interfere with the integrity or performance of the service; or use automated means to extract data from the service except as expressly permitted by us in writing.

6.5 You must not upload material belonging to another person unless you are authorised to do so and the upload and intended use are lawful.

6.6 You must not use the service in a way which could expose us, other users, our customers, our partners or the public to harm, liability, reputational damage or regulatory risk.

7. Moderation, detection and enforcement

7.1 We are not obliged to monitor all use of the service or all User Content manually and we do not undertake to do so.

7.2 We may use automated tools, filters, pattern recognition systems and AI-assisted detection tools to identify suspected breaches of these terms, security issues, illegal activity, harmful material or misuse of the service.

7.3 Where we reasonably believe that a breach of these terms has occurred or may occur, we may investigate, review relevant information, and take any action we reasonably consider appropriate, including issuing warnings, removing or disabling access to User Content, suspending or blocking access to the service, restricting functionality, requiring remedial steps, or terminating access.

7.4 We may act under clause 7.3 without prior notice where we reasonably consider that immediate action is necessary for security, legal, regulatory, safeguarding or reputational reasons.

7.5 We may preserve evidence and disclose information to law enforcement, regulators, courts, rights-holders or other appropriate third parties where we are legally required to do so or where we reasonably consider disclosure necessary to investigate or address unlawful or harmful conduct.

8. No reliance and user responsibility

8.1 You are responsible for checking the accuracy, completeness and suitability of any information or records you store or organise using the service.

8.2 Unless we expressly state otherwise in writing, the service does not verify the legal validity, enforceability or effectiveness of any document or information uploaded to it.

8.3 You remain responsible for maintaining your own separate copies or backups of any material you consider important.

9. Intellectual property rights

9.1 We and our licensors own all intellectual property rights in and to the service, excluding User Content.

9.2 Except for the limited licence expressly granted by these terms, no rights in the service or our intellectual property are granted to you.

9.3 You must not remove, obscure or alter any proprietary notices, branding or rights statements in the service.

10. Third-party services and links

10.1 The service may interoperate with or contain links to third-party software, services, content or websites.

10.2 We are not responsible for third-party services or websites and your use of them may be subject to separate terms and privacy notices.

10.3 We may change, suspend or discontinue integrations with third-party services at any time.

11. Fees and paid access

11.1 If your access is provided by a third party under a separate business arrangement, your right to use the service may end if that arrangement ends or your eligibility under it ceases.

11.2 Subscription Fees: Certain features of the Key Dials software require a paid subscription. All fees are stated in pounds sterling (GBP) and are non-refundable except as required by law or stated in our Refund Policy.

11.3 Automatic Renewal: Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle (e.g., monthly or annually) using the payment method on file.

11.4 Price Changes: We reserve the right to change our subscription fees. We will provide you with at least 30 days' notice before any price change takes effect.

11.5 Cancellation: You may cancel your subscription at any time through your account settings. Your access will continue until the end of your current paid billing period.

12. Suspension and termination

12.1 We may suspend, restrict or terminate your access to all or any part of the service immediately if: (a) you breach these terms; (b) we reasonably suspect misuse, unlawful activity or Prohibited Content; (c) your access route through the relevant Licence Channel ends; (d) we are required to do so by law, a regulator or a court; or (e) continuation of access would create security, legal or operational risk.

12.2 You may stop using the service at any time and may request closure of your Account in accordance with our then current process.

12.3 On suspension or termination, your licence to use the service ends immediately and we may disable access to your Account and User Content, subject to applicable law and our retention policies.

13. Deletion, retention and export

13.1 We may retain or delete User Content following suspension, termination or account closure in accordance with our privacy notice, retention policy, legal obligations and legitimate interests.

13.2 You are entitled to a copy of any personal data we hold about you. We require thirty days' notice to supply this to you, if you contact us at hello@keydials.com

13.3 You acknowledge that some deleted or removed material may persist for a limited period in backups, logs or archival systems.

14. Availability and support

14.1 We do not guarantee that the service will always be available, uninterrupted, secure or error-free.

14.2 We may carry out maintenance, updates, patches and emergency work from time to time, which may affect availability.

14.3 Any support arrangements made available to end users will be provided in accordance with the support channels and service levels, if any, that we publish or agree.

15. Warranties and disclaimers

15.1 We will provide the service with reasonable care and skill.

15.2 Subject to clause 15.1 and to the extent permitted by law, the service is provided on an as available basis and we do not give any representation, warranty or guarantee that the service will meet your requirements, achieve any particular result or be suitable for any specific purpose.

15.3 Nothing in these terms excludes any statutory rights that cannot lawfully be excluded or restricted.

15.4 Any insights, metrics, data, outputs, recommendations, suggestions, or guidance provided by the Key Dials software or website are for informational and educational purposes only.

15.5 Nothing contained in the Service constitutes, or should be construed or relied upon as, legal, financial, or professional advice. Key Dials Limited is not a law firm and does not provide legal services. Your use of the Service does not create an attorney-client relationship between you and Key Dials Limited. You are solely responsible for obtaining appropriate independent legal or professional advice before making any personal or business decisions based on the information provided through the Service.

16. Liability

16.1 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be limited or excluded.

16.2 Subject to clause 16.1, we shall not be liable for any indirect or consequential loss, loss of profit, loss of revenue, loss of business, loss of opportunity, loss of anticipated savings, loss of goodwill or loss of data, except to the extent such exclusion is prohibited by law.

16.3 Subject to clauses 16.1 and 16.2, our total aggregate liability arising out of or in connection with these terms or the service, the maximum extent permitted by law, Key Dials Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or use, arising out of or connected to your use of the Service, even if we have been advised of the possibility of such damages. In no event shall our total liability exceed the amount you paid us in the twelve (12) months preceding the claim.

17. Changes to the service and these terms

17.1 We may make reasonable changes to the service and to these terms from time to time.

17.2 Where a change is material, we will take reasonable steps to notify you by an appropriate method, such as in-app notice, email or publication on our website.

17.3 If you do not agree to a material change, you must stop using the service.

18. General

18.1 We may transfer or assign our rights and obligations under these terms to another group company or to a purchaser of the relevant business or assets, provided that your rights are not materially adversely affected.

18.2 You may not transfer, assign or otherwise deal with your rights or obligations under these terms.

18.3 If any provision of these terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

18.4 A delay or failure to exercise any right shall not waive that right.

18.5 These terms are between you and us. No third party has any right to enforce them except as expressly stated.

19. Governing law and jurisdiction

19.1 These terms and any non-contractual obligations arising out of or in connection with them are governed by the law of England and Wales.

19.2 The courts of England and Wales shall have exclusive jurisdiction, except that if you are a consumer resident in another part of the United Kingdom you may also bring proceedings in the courts of that part of the United Kingdom.
